MILAN – After months of complex negotiations and several postponements, was born the new giant of the publishing market. With a decision taken at the weekend, the consiglkio administration RCS group has given the green light to the sale of Rizzoli Books Mondadori. The last obstacle to the merger that the market has already defined as “Mondazzoli”, is called Antitrust. The Competition Authority will now tell if put together two of the leading champions of the book sector in Italy does not violate in any way the concentrations prescribed by the laws. Not for nothing, it was just the rock of the Antitrust they risked running aground the negotiations, in fact, already concluded a few days ago. Not the price, already established by the time 135 million including debt, but the guarantees on the operation. According to what has already been rebuilt by the Republic, Mondadori asked effetturae only after the green light from the Antitrust operation. Moreover, it is true that putting together Mondadori and Rizzoli would be created in the field of book sales a position equal to 38 per cent of the market share. So, on paper, it is not inconceivable that the Authority may require release of some lesser brand or publisher. The news – in any case – not only because it was expected and announced from time. RCS is stat – in fact – forced to “sacrifice” one of its jewels to avoid the increase in capital, which have never been available some of the main members of the group. The company could not riniviare further, given the pressures of the creditor banks that on more than one occasion drew the leaders of society to respect pacts. In other words, without the revenue from the sale of books at year-end it was a strong risk of not respecting more the guarantees provided by the loan agreements. From level of debt Net debt at year end should not exceed 440 million; while on June 30 the level had increased to 526,200,000.
