Fiat Chrysler Automobiles N.V. (“FCA”) (NYSE: FCAU / MTA: FCA), Ferrari N.V. (NYSE: RACE) and FE New NV1 (“Ferrari”) communicate when and how the separation of the business from the Ferrari FCA Group (the “Separation”) Upon completion of the separation, the actual participation of FCA in Ferrari NV (“Predecessor Ferrari”), corresponding to approximately 80% of its capital, will be distributed to holders of shares and mandatory convertible notes (“MCS”) FCA. The separation will take place through a series of operations that are expected to take effect between 1 and 3 January 2016 as previously announced by FCA and Predecessor Ferrari. As part of Separation FCA shareholders will receive one common share for every ten ordinary shares Ferrari FCA and one special voting share to every ten Ferrari FCA special voting shares held. The record date of separation for shares held in the centralized clearing US and Italian will be January 5, 2016. In addition, the holders of MCS will receive 0.77369 common shares for each MCS unit Ferrari held at the record date of 5 January 2016. The actions Ferrari will be recorded in the accounts of the holders of shares of MCS and FCA January 7, 2016, with the exception of Ferrari shares issued with respect to actions FCA held through Monte Titoli system, which will be recorded on Jan. 6, 2016, as a result of different standards regulations in force on the US and Italian. As part of the separation will not be assigned fractional shares Ferrari. Fractional entitlements will be aggregated and sold by intermediaries on behalf of the owners or by the transfer agent for the Ferrari shares and the net proceeds will be distributed in cash pro rata to the shareholders and holders of MCS FCA which would have been entitled to receive a share fraction Ferrari. In addition, as part of the separation, the shareholders FCA will receive a cash payment of EUR 0.01 for each share held as of January 5, 2016, the distribution record date for shares held in the centralized clearing US and Italian .2 The cash payment will be credited, less any applicable withholding tax, on January 13, 2013. The FCA ordinary shares will be traded “ex” Ferrari as of January 4, 2016 on both the New York Stock Exchange (“NYSE”) and on the MTA organized and managed by the Italian Stock Exchange (“MTA”). Thus the last date on which the common shares purchased FCA will include the right to receive shares as part of the Ferrari Separation will be December 30, 2015 (for operations on the MTA) or 31 December 2015 (for transactions on the NYSE), that is, last trading day of 2015. The ordinary shares Ferrari will continue to be traded on the NYSE under the ticker symbol RACE. However, as of January 4, 2016, the common shares will trade under the new Ferrari CUSIP N3167Y 103. Ferrari was informed by the NYSE that equities Ferrari allocated under the Separation will be traded on the NYSE on a “when issued “between 4 and 7 January 2016 and will begin to be regularly traded on January 8, 2016. The Ferrari ordinary shares held by the public before the separation will continue to be traded on a regular basis throughout the period. In addition, as previously announced and subject to the publication of the listing prospectus and authorization by the competent authorities, Ferrari ordinary shares will start being traded on the MTA January 4, 2016 under the ticker symbol RACE and the ISIN code NL0011585146.
