Vivendi wants to become the second largest shareholder of Mediaset. The French group controlled by Vincent Bolloré has announced they have bought directly on the market shares of Mediaset reaching the 12.32% of the group founded and controlled by the Berlusconi family through Fininvest. Bolloré is said to ready for other purchases “in accordance with the conditions of the market” to take up to 20% of the Biscione.
The reaction Fininvest did not have to wait: it is “a real hostile takeover”, he did know, from tracking behind the controversies on the value Premium, “a plan that Vivendi reveals with the move today: to create the conditions to bring down artificially the value of the title Mediaset and launch at discount prices” the climb, said the holding of the family, ready to protect themselves “at all locations and by all means” to stop “a very serious deception that the laws of the market is chaos”.
The battle around to Mediaset for the moment, he has especially delighted the Bag. The stock has gained 31% to 3,58 euros, after having made a bet 3,68 euro. The Berlusconi family certainly didn’t like the blitz of Vivendi. The fact remains that the effect of the climb-the heritage of Fininvest, has risen to about 300 million.
Despite this, at the house of the Knight have not taken well the news of the assault masterminded by the former friend Vincent Bolloré. Has already in hand, the 12% and the tip to get at 20%. Obviously a move of disorder, whereas the control of Mediaset is firmly in the hands of the former president of the Council. In addition to 34.7% in the possession of Fininvest, there is another 3.5% of treasury shares held by Mediaset itself. However, arriving at the 20% Bolloré could point to constitute a blocking minority that would have space in the assemblies of the members. To counter the initiative, Fininvest, has stated that it has filed today a comp laint of market manipulation to the public Prosecutor of Milan, and also, for information, to the Consob. To prepare for the act was the attorney of Silvio Berlusconi and of the financial presided over by the eldest daughter Marina, Niccolò Ghedini.
A move is due, according to Fininvest, which tends to protect its own interests and those of the television company under attack by the end of July, when the group French that refers to Vincent Bollorè had made reverse with respect to the binding agreement signed by the parties in the case last April 8 and for the supply of pay tv Premium and to the exchange of shares between the two companies.
In July, the Knight refused the offer to Vivendi, which wanted to acquire 15% of the milan group, in addition to the 20% of Premium. From the point of view of Bolloré, Mediaset represents the entry point not only in Italy but also in Spain. This is just the beginning, commented the analysts at Mediobanca Securities, judging the move of the French group, “aggressive”, as a confirmation of the fact that “we had reason in the past to suggest an interest for Vivendi, as for Mediaset, as a whole, not only for the business of pay-tv”. On the other hand, a group like Mediaset (the leader in commercial television in Italy and Spain, with strong competencies in content production, with a business pay-tv is well-established) is a milestone for anyone planning to create a multi-media platform,
with a strong focus on Southern Europe.
